7. Payment Terms

• Client's negligence or willful misconduct

11. Term and Termination

11.1 Term

Service agreements remain in effect until project completion or as specified in individual contracts.

11.2 Termination

Either party may terminate services under the following conditions:

• By mutual written agreement
• For material breach with 30 days written notice
• Immediately for insolvency or bankruptcy
• As specified in individual service agreements

11.3 Effect of Termination

Upon termination, clients remain responsible for payment of services rendered and expenses incurred up to the termination date.

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

13. Dispute Resolution

13.1 Negotiation

Parties agree to attempt to resolve disputes through good faith negotiation before pursuing other remedies.

13.2 Arbitration

If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13.3 Governing Law

These terms shall be governed by the laws of the State of California, United States, without regard to conflict of law principles.
